Terms of Service
Last updated:
Film Exchange is a peer-to-peer ticket marketplace for specialty film screenings and film festivals. A seller's asking price can't be more than the ticket's face value plus the fees the seller originally paid. Buyers who use protected payment also pay a buyer protection fee on top of the asking price. These terms set out how buying and selling works and what we require of you.
1. Acceptance, Eligibility & Beta Status
These Terms of Service are an agreement between you and Film Parlour LLC, which operates Film Exchange (“Film Exchange,” “we,” “us”). By creating an account or using the service, you agree to these terms and to our Privacy Policy. If you don't agree, don't use Film Exchange.
To use Film Exchange you must:
- be at least 18 years old,
- live in the United States, and
- have a valid invite (Film Exchange is an invite-only beta, and we may limit, revoke, or expire invites at our discretion).
You're responsible for your account. Keep your password private, keep your email address current, and tell us at support@filmexchange.app if you think someone else has accessed your account. You may have only one account. If we find that someone is operating more than one account, especially to increase their sale count, we may suspend or close those accounts and ban that person from Film Exchange.
2. Definitions
In these terms:
- Face value is the price the venue or event operator set for the ticket, as printed on the ticket or shown in the original order.
- Original fees are the booking, service, or processing fees the seller paid the venue or its ticketing provider when they bought the ticket. They don't include any Film Exchange or Trustap fee.
- Asking price is the price the seller sets for a ticket. It can't be more than face value plus original fees.
- Direct payment (P2P) means the buyer pays the seller off-platform through the seller's own Venmo, PayPal, or Zelle account. Film Exchange shows the seller's payment links and a QR code once a request is accepted, and releases the ticket after the seller confirms they were paid. Film Exchange doesn't handle the money and charges no fee. See section 7.
- Protected payment means the buyer pays by card or Apple Pay through Trustap, a third-party payment provider. Trustap holds the payment until after the screening and the issue deadline (the last day to report a problem with the ticket), then pays the seller. See section 6.
- Buyer protection fee is the fee a buyer pays on a protected payment, on top of the asking price. It combines Trustap's fee and the Film Exchange fee. The seller pays no fee.
- Listing means one ticket offered by one seller for one screening.
3. Our Role
Film Exchange is a marketplace. When you buy a ticket here, the contract for that ticket is between you and the seller, and Film Exchange is not a party to it. We don't own the tickets or set their face value. We aren't the venue, the event operator, or anyone's agent. We never take title to a ticket, even when we hold its file for delivery. We don't hold buyer funds. Direct payments go to the seller, and Trustap holds protected payments.
We can't guarantee that a listing will sell, that a request will be accepted, or that a particular ticket will be listed. Our obligations to you are limited to those set out in these terms.
4. Seller Terms
You must have the ticket. By listing a ticket, you confirm that you have it, in hand or in your account, and that it's yours to sell. You may not list a ticket you don't have yet.
Price cap. Your asking price can't be more than face value plus your original fees. This is a Film Exchange rule, and the listing form enforces it.
Accuracy. Describe the ticket accurately: the screening, the seat if assigned, any restrictions you know about, and the correct face value and original fees. If a ticket bought with protected payment doesn't match its listing, the buyer gets a full refund and you aren't paid for that ticket. If a ticket bought with direct payment doesn't match its listing, you must refund the buyer yourself, and we may suspend or ban your account.
Venue and festival terms. Many venues and festivals have their own terms about reselling or transferring tickets. Check your ticket's terms before you list it. You list tickets at your own discretion and you're responsible for following the terms that come with them.
5. Buyer Terms
Price. With direct payment you pay the seller's asking price, and Film Exchange charges no fee. With protected payment you pay the asking price plus the buyer protection fee. Checkout shows the total, including all fees, before you pay, and the total doesn't change during checkout.
Resale. You're buying a resold ticket from another member. Venue and festival terms about resale still apply to the ticket, and you buy at your own discretion. Protected checkout links to the purchase and refund terms before you pay.
Your responsibilities. Pay within the checkout window. We hold the ticket for you until the window ends; if you haven't paid by then, the hold ends and other buyers can request the ticket. Confirm receipt honestly. The venue's admission rules still apply to you.
6. Payments & Refunds
Ways to pay. Each listing shows whether it accepts direct payment, protected payment, or both.
Direct payment (P2P). You pay the seller off-platform through their own Venmo, PayPal, or Zelle account. Film Exchange never receives, holds, or transmits your money, and charges no fee. We release the ticket after the seller confirms they received your payment. Trustap's protection and the protected-payment refunds below do not apply to direct payments, but the seller's refund obligations for direct payments do. See section 7.
Protected payment. When a listing offers it, you pay by card or Apple Pay through Trustap. Trustap holds your payment until after the screening and the issue deadline, then pays the seller if no problem was reported. We release your ticket once Trustap confirms your payment. You pay the asking price plus the buyer protection fee, shown as one total before you pay. The seller pays no fee. If a ticket doesn't work (including because it couldn't be transferred), is counterfeit, or doesn't match its listing, or the screening is cancelled, file a problem report from your ticket in the app before the issue deadline shown there. The payment stays on hold while Trustap reviews the problem report. Protected payments are also governed by Trustap's terms and the purchase terms you accept at checkout, which are also on the Protected payments page.
Refunds. For a protected payment, Trustap reviews any problem report and decides whether to refund. An approved refund returns everything you paid: the asking price and the buyer protection fee. Film Exchange pays back any part of the buyer protection fee that Trustap doesn't refund.
For direct payments, Film Exchange doesn't hold the money or guarantee a refund. The seller must refund the buyer directly if:
- the event is cancelled and not rescheduled,
- the ticket is counterfeit or couldn't be transferred, or
- the ticket doesn't match its listing description.
If the law where you live or where the event takes place gives you a right to a refund, you keep that right in addition to these terms.
If a screening is postponed or rescheduled, the ticket is generally valid for the new date. If you paid with protected payment and can't attend the new date, report it from your ticket before the issue deadline.
7. Direct (P2P) Payments
With direct payment, the buyer pays the seller through a third-party service such as Venmo, PayPal, or Zelle. Film Exchange never receives, holds, or transmits any funds in a direct payment. We introduce the buyer and seller and show the seller's payment links and QR code. The payment itself happens only between the two of them.
For direct payments, Film Exchange only connects the buyer and seller. It charges no fee, handles no funds, and doesn't act as a ticket reseller.
Direct payments aren't covered by protected payment. Trustap's protection and the protected-payment refunds in section 6 don't apply to direct payments. The seller's refund obligations for direct payments in section 6 still apply. Buyers and sellers use direct payment at their own risk. Film Exchange is not a party to the payment and can't reverse, refund, or guarantee it. Payment problems with a direct payment must be handled through your payment provider or with the seller.
All other rules in these terms still apply to direct payments, including the listing rules, the price cap, and the requirement that you have the ticket. We release the ticket file after the seller confirms they were paid, but we don't confirm that a payment happened or that the amount was correct. If you paid and the seller doesn't confirm, open a dispute from the request with your proof of payment (section 10).
8. Prohibited Conduct
We may suspend or ban accounts that do any of the following (section 10):
- List tickets obtained by bypassing purchase limits, queues, or access controls. The federal BOTS Act (15 U.S.C. § 45c) makes knowingly reselling such tickets unlawful.
- Use automated tools to access Film Exchange, claim listings, or collect data.
- Resell tickets in person near a venue where local law prohibits it.
- List counterfeit or double-sold tickets, misstate the face value or original fees, submit a false payment confirmation, open disputes in bad faith, use more than one account, or harass other members.
9. Your Content & Intellectual Property
You keep ownership of what you post, such as listing notes, profile details, and uploaded ticket files. You give us a non-exclusive, worldwide, royalty-free license to host, display, and process that content as needed to run the service (for example, showing your listing to buyers or reading the barcode from an uploaded ticket). You confirm that your content doesn't infringe anyone's rights. We may remove content that violates these terms.
The Film Exchange name, design, and software belong to us. Don't copy or reuse them without permission. If you believe content on Film Exchange infringes your copyright, email support@filmexchange.app with the details and we'll review it.
Film information and poster images come from The Movie Database (TMDB). This product uses the TMDB API but is not endorsed or certified by TMDB.
10. Suspension, Termination & Disputes
Disputes between members. If something goes wrong with a purchase, open a dispute from the request in the app. We notify the other member so you can try to resolve it together. If you can't, a Film Exchange admin reviews the record (the listing, the messages, and the evidence both sides attach) and decides how to resolve it, for example by removing a listing, restoring or removing ticket access, or suspending an account. Film Exchange doesn't hold transaction funds. For protected payments, Trustap decides whether to approve a refund or release a payout under its terms, and Film Exchange refunds any part of the buyer protection fee that Trustap doesn't return. For direct payments, only the payment provider or the seller can return a payment. Dispute outcomes are recorded on members' track records.
Suspension and bans. We may suspend or ban an account for violating these terms, for fraud, or to protect other members. Suspended members can still see their existing requests and tickets but can't list, request, or buy. We may also remove listings and cancel requests when necessary. To appeal a decision, email support@filmexchange.app.
You can delete your account in Settings once you have no open purchases, sales, payments, or disputes. Sections 11–13 and any remaining payment obligations continue to apply after you delete it.
11. Beta Disclaimer, Warranties & Limitation of Liability
Beta. Film Exchange is in beta and is provided “as is” and “as available.” Features may change or be removed, there may be bugs and downtime, and we may need to reset or migrate data.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that any ticket will be valid, that any event will happen, or that the service will be uninterrupted or error-free. For protected payments, section 6 sets out your refund rights if a ticket doesn't work.
To the fullest extent permitted by law, Film Exchange's total liability to you for any claim arising out of the service or these terms is capped at the greater of (a) the fees you have paid to Film Exchange in the twelve months before the claim arose, or (b) the value of the transaction the claim relates to. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or missed screenings, even if we were told they were possible. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.
Indemnification. To the fullest extent permitted by law, you will indemnify, defend, and hold harmless Film Parlour LLC and its officers, members, and employees from third-party claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your listings, your transactions, your content, or your violation of these terms or the law, except to the extent caused by our own breach or misconduct.
12. Dispute Resolution & Governing Law
These terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules.
If you have a dispute with Film Exchange (disputes with another member are covered in section 10), email us first at support@filmexchange.app and give us 30 days to try to resolve it. If we can't, any claim must be brought in the state or federal courts located in New York County, New York, and both you and we consent to their jurisdiction. Either party may instead bring an individual claim in small claims court if it qualifies.
13. Changes, Severability & Contact
We may update these terms. For material changes we'll notify you by email or in the app before they take effect, and the “last updated” date at the top will change. If you keep using Film Exchange after a change takes effect, you accept the new terms. If you don't accept them, delete your account.
If any part of these terms is found unenforceable, the rest stays in effect. If we don't enforce a provision, that isn't a waiver of it. These terms and the Privacy Policy are the whole agreement between you and Film Exchange about the service.
